1. Acceptance of Terms

By accessing or using the websites at huffinch.com and tradebrain.us or the TradeBrain service (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. The Service

Huffman & Finch LLC provides TradeBrain, an AI phone agent and operating platform for trade-service businesses, including call answering, scheduling, customer management, and related tools. We may add, change, or discontinue features over time.

3. Accounts

You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity under your account. You must have authority to bind the business you register.

4. Acceptable Use

You agree not to use the Service unlawfully, to infringe others' rights, to interfere with or disrupt the Service, or to attempt to gain unauthorized access to it. You are responsible for ensuring your use of the Service, including any messages sent on your behalf, complies with applicable law and carrier requirements.

5. Messaging

The Service sends operational and transactional text messages on behalf of businesses that use it, as described in our Privacy Policy. By providing a phone number and enabling messaging, an account holder consents to receive these operational messages. Message frequency varies; message and data rates may apply. Reply STOP to opt out and HELP for help. Consent to receive messages is not a condition of any purchase.

6. Intellectual Property

The Service and its content, software, and trademarks are owned by Huffman & Finch LLC or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

7. Fees

Fees, if any, are described in the order or agreement applicable to your account. Unless stated otherwise, fees are non-refundable.

8. Free Trial

8.1 Trial Scope. Huffman & Finch LLC may offer prospective customers a limited, no-fee trial of the Dana voice agent (the "Trial") consisting of up to three (3) test calls. The Trial is provided solely for Customer's own evaluation of the Dana voice agent. Customer agrees not to publish, forward, or otherwise route inbound calls from third parties to the Trial Dana line. The Trial Dana line is intended for Customer's self-directed testing only.

8.2 No Fees, No Service Level Commitment, No Refund. The Trial is provided at no charge. No service level commitment, refund mechanism, or other commercial protection applies to the Trial.

8.3 As-Is Service. The Trial is provided "as is" and "as available," without warranty of any kind. Customer's exclusive remedy if dissatisfied with the Trial is to discontinue use.

8.4 Dana Acknowledgments. Customer acknowledges that Dana is an artificial intelligence agent whose outputs are probabilistic and not deterministic. Dana may misunderstand requests, provide incomplete or inaccurate information, schedule appointments incorrectly, fail to answer calls, transfer calls in error, or produce other unexpected results during the Trial.

8.5 Critical-Use Limitations. Customer agrees:

(a) Not to rely on Dana as the sole means of responding to emergencies, life-safety, or medical situations;

(b) Not to use Dana as a substitute for licensed professional advice, diagnosis, or judgment; and

(c) To maintain its own escalation, callback, and quality-control processes during and after the Trial.

8.6 Trial Number Recycling. The Trial Dana telephone number is assigned for the duration of the Trial only. Upon completion of the three (3) Trial calls, the Trial Dana number is released back to Huffman & Finch LLC's number pool and is no longer reachable by Customer or any third party.

8.7 Trial Data and Account Inactivity. Call recordings, transcripts, and any account configuration data created during the Trial are stored in accordance with the Privacy Policy. Call recordings and transcripts are retained for up to ninety (90) days. If Customer does not convert to a paid plan, the Trial account will be closed and identifying account data deleted from production systems after thirty (30) days of inactivity following Trial completion or expiration, subject to Section 8.9 (Verification Documents).

8.8 Conversion to Paid Plan. Conversion from the Trial to a paid plan requires Customer to execute the Master Services Agreement and the Data Processing Addendum. Until those agreements are executed, Customer may not use the Service to process inbound calls from third parties.

8.9 Verification Documents. Verification documents Customer uploads at Trial signup (business license, government-issued photo identification, and Employer Identification Number if provided) are stored encrypted using AES-256-GCM and retained as described in the Privacy Policy. Customer may request deletion of these documents by contacting privacy@tradebrain.us.

8.10 Re-Trial. A Customer whose Trial account has been closed under Section 8.7 may sign up for the Trial again. Huffman & Finch LLC reserves the right to limit or decline repeat Trials at its discretion.

8.11 Termination of Trial. Huffman & Finch LLC may suspend or terminate the Trial at any time, with or without notice. Customer may end the Trial at any time by ceasing use of the Service.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law.

10. Limitation of Liability

To the fullest extent permitted by law, Huffman & Finch LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless Huffman & Finch LLC from claims arising out of your use of the Service or your violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules.

13. Changes

We may update these Terms from time to time. We will post the updated version here and revise the "Last Updated" date above. Continued use of the Service after changes take effect constitutes acceptance.
